Terms & Conditions

Scope of Agreement: This agreement constitutes the entire agreement between U-Aspire (“we”, “us” and “our” “Event Organisers”) and the Client (“You” and “your”). All prior agreements understandings and negotiations and representations (save for fraudulent misrepresentation) whether oral or in writing are cancelled in their entirety. The terms of any other electronic communications will not form part of this agreement.

Our Commitment to You: In accordance with your contract we will arrange a stipulated minimum number of meetings with buyer companies from our final list and provide you with a detailed schedule of appointments one week prior to the Event. Please note that meeting schedules may be altered due to unforeseen circumstances, specific appointments cannot be guaranteed. We reserve the right to determine the theme programme, scope and content of seminars and presentations to be held during the Event Should the Event be cancelled or the location be changed for reasons or circumstances beyond our control, we reserve the right to reschedule the Event, including changing the location, upon written notice to you. Should the event fail to be rescheduled for any reason your refund shall not exceed the total charge received by us from you.

Supplier Company Executives: You agree to supply to us in writing names and details of the attending executive/s 3 weeks prior to the start of the Event (if the contract is received within 3 weeks of the start of the Event, names of the attending executive/s should be notified by return). You may request changes to elected executives in writing up to 2 weeks prior to the start of the Event. Nonappearance of any of the executives will not affect your obligation to pay for the executive’s place or places booked. No persons other than those officially registered with us may attend any part of the Event You warrant and represent to us that the catalogue entry provided by you will not contain anything that is defamatory, obscene, false or misleading or which otherwise violates any intellectual property rights or rights of any person and the use of the catalogue entry materials provided by you will not violate any applicable law or regulation. You agree that there have been no guarantees made by us for this package and that no employee of Event Organisers has made a promise or commitment that does not appear here. You agree to indemnify and hold Event Organisers and any of our officers, employees and agents harmless from and against all and any claims, liabilities, expenses, losses, costs or damages incurred or suffered and any claims or legal proceedings which are brought or threatened, in each case arising from any violation or infringement of third party rights, or any breach of any of these terms and conditions. Executives are responsible for their own insurance (including, but not limited to, travel insurance, personal effects and personal insurance), vaccinations, and visas. No private functions may be organised involving any buyer delegates during the programme, other than those agreed in advance by us. You are responsible for your own flight, transfers and accommodation arrangements and the costs associated with them.

Payment: The total fees specified on the Agreement are exclusive of VAT and any other applicable sales tax which shall be payable in addition. You are required to submit full payment of the total Package fee, within 14 days of the date of our invoice. The schedule of appointments will not be issued until the full contractual amount has been received.

Cancellation: Cancellations received more than six months prior to the start of the Event may be accepted subject to a cancellation fee of 0%. Cancellations received more than 3 months and fewer than 6 months prior to the start of the Event may be accepted subject to a cancellation fee of 10%. Cancellations received more than 1 month and fewer than 3 months prior to the start of the Event may be accepted subject to a cancellation fee of 25%. Cancellations received 1 month or less from the start of the Event may be accepted subject to a cancellation fee of 50%. All cancellation requests must be submitted to us in writing. If we agree to your cancellation then all cancellation fees are payable within 14 days of the acceptance of your cancellation in writing by us.

General: You the Supplier, your executive/s or your agents may not transfer or assign any of the rights or obligations of this Agreement (in whole or part) without our prior consent. Any attempt to resell, assign or transfer rights without our consent will entitle us to cancel the contract without liability to you. Failure by you to supply the necessary advertisement branding materials for your Supplier/Sponsor Package in the form specified and by the copy deadline indicated by us will not affect your payment obligations outlined above. This agreement is governed by English law and each party agrees that the courts of England will have non-exclusive jurisdiction to deal with any disputes arising out of or in connection with this agreement. Changes to this contract can only be made in writing. Printed terms and conditions in any additional documents issued by you or your agent will not be recognised as binding. The working language of the Event is English.
